These Terms of Service ("Terms") govern your access to and use of the Centence website and services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. The Service

Centence is an AI-powered content creation platform that provides keyword research, content generation, and publishing tools. The Service uses artificial intelligence to generate written content based on your inputs.

2. Account Registration

To use the Service, you must create an account. You agree to:

Provide accurate and complete information
Keep your login credentials secure
Notify us immediately of any unauthorized access
Be responsible for all activity under your account

You must be at least 18 years old to use the Service.

3. Free Trial and Payment

Free Trial

New users receive a 7-day free trial with up to 3 articles. A valid credit card is required to start the trial.

Billing

If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan, and your card will be charged. Subscriptions renew automatically at the end of each billing cycle (monthly or annual) unless cancelled.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

Price Changes

We may change our prices with at least 30 days' notice. Price changes will apply to your next billing cycle after the notice period.

4. Acceptable Use

You agree not to use the Service to:

Generate content that is illegal, defamatory, or infringes on third-party rights
Create or distribute adult, sexually explicit, or pornographic content
Produce misinformation, disinformation, fake news, or deliberately misleading content
Spam, phish, or engage in deceptive practices
Generate content that promotes violence, hatred, or discrimination
Impersonate individuals or misrepresent authorship
Circumvent usage limits or abuse the platform
Reverse engineer, decompile, or attempt to extract the underlying models or algorithms
Resell or redistribute the Service without authorization

We reserve the right to suspend or terminate accounts that violate these terms.

5. Intellectual Property

Your Content

You retain ownership of all content you provide to the Service, including articles, brand voice samples, and other inputs ("Your Content"). By using the Service, you grant us a limited license to process Your Content solely to provide the Service to you.

Generated Content

Content generated by the Service based on your inputs ("Generated Content") belongs to you. You are free to use, publish, modify, and commercialize Generated Content as you see fit.

Our Responsibility Ends at Generation

Once content is generated, you are solely responsible for reviewing, editing, and publishing it. We make no claims about the suitability of Generated Content for any particular purpose.

Our Platform

The Service, including its software, design, features, and underlying technology, is owned by Centence and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

6. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate content. You understand and agree that:

AI output requires review: Generated Content may contain errors, inaccuracies, or inconsistencies. You are responsible for reviewing and editing all content before use or publication.
No guarantees of performance: We do not guarantee that Generated Content will rank in search engines, pass AI detection tools, or achieve any specific results.
No guarantee of originality: While we design the Service to produce original content, AI-generated text may inadvertently resemble existing content. You are responsible for checking originality before publishing.
Factual accuracy is your responsibility: AI may generate incorrect facts, statistics, or citations. Verify all factual claims independently.

7. Third-Party AI Providers

The Service routes requests through OpenRouter to various AI providers (such as OpenAI, Anthropic, Google, and others) based on your model selection. Your use of the Service is also subject to the terms and policies of these third-party providers. We are not responsible for the performance, availability, or policies of third-party AI providers.

8. Service Availability

We strive to maintain reliable service but do not guarantee uninterrupted or error-free operation. We may:

Perform maintenance with or without notice
Modify, suspend, or discontinue features
Experience downtime due to circumstances beyond our control

We are not liable for any loss or damage resulting from service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law:

The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Our total liability for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

You agree to indemnify and hold harmless Centence, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

Content you create, publish, or distribute using the Service
Your violation of any third-party rights

11. Termination

By You

You may stop using the Service and close your account at any time.

By Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, abusive behavior, or extended inactivity.

Effect of Termination

Upon termination, your right to use the Service ends immediately. Provisions of these Terms that by their nature should survive termination will survive, including ownership, disclaimers, indemnification, and limitations of liability.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service.

13. Governing Law and Disputes

These Terms are governed by the laws of Canada, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service will be resolved in the courts of Canada, and you consent to the jurisdiction of such courts.

14. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Centence regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
Waiver: Our failure to enforce any provision of these Terms does not waive our right to enforce it later.
Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
